Preparation of Notices/Agenda for Board, Committee and General Meetings.
Secretarial Function - Compliance of Companies Act, SEBI, RBI
SEBI Regulation and SEBI LODR experience is mandatory.
Conducting independently the offline and virtual Board & Annual General Meetings in compliance with SEBI Listing Regulations, Companies Act 2013 & Secretarial Standards as well as Drafting of the Notices, Annual Report, Agenda & Minutes etc
Assist in Convening Board Meeting, Committee Meetings, General Meetings
Preparing and filing of various forms with ROC, Annual Returns, etc.
Recording and Maintaining the statutory registers of the company.
Secretarial Due Diligence, listing compliances
Assisting in drafting of agreements and other legal documents like Shareholders Agreements, security documents, etc.
Drafting and getting the corporate actions and other conditions precedent/subsequent required from the Investee Companies for making investments.
Any other jobs assigned and support to other departments
