Job Description

We are seeking a highly skilled and motivated Company Secretary to join our team on money mart payroll. The ideal candidate will play a pivotal role in ensuring the company's compliance with statutory and regulatory requirements while providing essential support to the Board of Directors and senior management.

 

  • Working hours : 8.30 hours, 1st and 3rd Saturday will be working / 2nd , 4th and 5th Saturday will be off.

Key Responsibilities:

  • An individual with experience of providing support to the secretarial team.
  • An ability to communicate confidently and effectively at all levels both with internal and external stakeholders.

  • Experience of working with a Listed NBFC Company
  • Experience in handling group of Companies
  • Well versed with the provisions of Companies Act, 2013 (Act) and SEBI Regulations such as SEBI (Listing obligation and Disclosure Requirements) Regulations, 2015, SEBI (Prohibition of Insider Trading) Regulations
  • Ability to interpret and analyze the provisions of the Act.
  • Maintaining all company statutory documents and records.
  • Managing Board and Committee meetings, drafting the agenda and resolutions, coordinating the board meetings and post meeting corporate filings, minutes etc.
  • Sound knowledge of Rights Issue; Preferential Allotment and Private Placement and manage its corporate actions.
  • Ensure that meetings comply with statutory legislation and the organizations governing documents and procedures.
  • Prepare agenda, draft resolutions, and record the minutes of the Board meetings, Committee Meetings & Shareholders Meetings
  • Should be familiar with various ROC filings including XBRL filing.
  • Meet the compliance requirements under the Companies Act, 2013 and other relevant laws and of various Statutory Agencies / Regulators.
  • Monitor changes in the relevant legislation & the regulatory environment and initiate appropriate action.
  • Drafting/Alteration of Memorandum and Articles of Association and Shareholder agreement
  • Managing depository related activities for companys equity and debt instruments
  • Managing activities related to additional compliance requirements like filing charges for borrowings, stamp duty and other such compliance requirements whenever required.
  • Liaise and coordinate with Depositories & RTA for transfer, transmission, and dematerialization of securities.
  • Handling RBI compliance related to NBFC.

Qualifications and skills:

  • In-depth knowledge of company law, corporate governance, and regulatory compliance.
  • Strong organizational and multitasking skills.
  • Excellent communication and interpersonal abilities.
  • Proficient in MS Office and corporate governance software/tools.
  • Ability to work independently and under pressure.
