Position: Manager Company Secretary Qualification: CS Experience: 5 to 10 years Location: Mumbai Job description Key Responsibilities: Process and Compliance Management: Initiate, drive processes with rigor, and ensure accuracy in executing and managing compliance under Corporate & Other Laws. Board Meetings and AGM Management: Prepare comprehensive agendas and papers for board meetings, committees, and AGMs, ensuring effective follow-up on action points. AGM Facilitation: Convene and service AGMs, including minute-taking, resolution drafting, and timely lodgment of required forms and annual returns. Strategic Advisory: Provide legal, financial, and strategic advice for various corporate requirements, contributing to informed decision-making. Policy and Regulatory Compliance: Ensure that. policies and any regulatory or statutory changes affecting the organization are up to date and approved by the committee Statutory Book Maintenance: Maintain statutory books, including registers of members, directors, and secretaries, ensuring accuracy and compliance. Communication and Reporting: Handle correspondence, collate information, write reports, and effectively communicate decisions to relevant stakeholders. Strategic Input: Play an active role and provide valuable input to management decisions related to share issues, mergers, and takeovers. Listed Companies Compliance: Demonstrate experience in complying with the requirements of publicly listed companies, stock exchanges, and SFIO. Offshore Jurisdiction Compliance: Manage compliance related to offshore jurisdictions, ensuring adherence to relevant legal frameworks. Regulatory Bodies Compliance: Ensure compliance with the requirements of RBI, FEMA, SEBI, and other regulatory bodies as necessary. Regulatory Filings: Make requisite regulatory filings in a timely and accurate manner. Requirements Professional Qualifications: Qualified graduate and member of the Institute of Company Secretaries of India with 5-10 years of relevant experience.
