Job Title: Company Secretary

Location: Gandhidham(Gujarat)
Reports to: Board of Directors/CEO
Job Overview:
The Company Secretary will play a critical role in ensuring the organization complies with legal and regulatory requirements. The ideal candidate will be responsible for overseeing corporate governance, compliance, secretarial functions, and managing the relationship between the board of directors and the stakeholders.
Key Responsibilities:
Corporate Governance:
Assist in formulating and implementing policies related to corporate governance.
Advise the board of directors on corporate governance best practices.
Ensure compliance with applicable laws, regulations, and corporate governance principles.
Regulatory Compliance:
Monitor changes in relevant legislation and regulations that affect the company.
File necessary documents with government authorities, including the Ministry of Corporate Affairs (MCA), Securities and Exchange Board of India (SEBI), and others.
Ensure the company complies with statutory filings and submissions (e.g., annual reports, shareholder meetings, financial disclosures).
Board Support:
Organize board meetings and annual general meetings (AGMs), prepare agendas, and distribute materials.
Prepare minutes of meetings, resolutions, and ensure they are accurately recorded and signed.
Maintain statutory registers, records, and other governance-related documents.
Act as a liaison between management and the board of directors.
Shareholder Relations:
Oversee the process of shareholder communications and ensure timely response to shareholder inquiries.
Handle all shareholder matters, including share transfers, dividend distribution, and other corporate actions.
Compliance Reporting:
Prepare and submit periodic compliance reports to regulatory bodies.
Manage filings related to changes in the corporate structure (e.g., mergers, acquisitions, or corporate restructuring).
Legal Liaison:
Coordinate with external legal counsel on legal matters affecting the company.
Ensure all necessary legal documents are properly drafted, signed, and archived.
Record-Keeping:
Maintain the companys legal and corporate records, ensuring they are accurate and up to date.
Ensure timely filing of documents with regulatory authorities as per legal requirements.
Qualifications and Requirements:
Educational Qualification:
Bachelors degree in Law, Commerce, or related field.
Professional qualification as a Company Secretary (ACS/FCS) is mandatory.
Experience:
At least 2 years of experience as a Company Secretary, preferably within the manufacturing sector or a related industry.
Strong understanding of the Companies Act, corporate governance, and other relevant regulatory frameworks.
Key Skills:
Strong knowledge of corporate governance practices and regulatory requirements.
Excellent communication, interpersonal, and presentation skills.
Ability to draft legal and corporate documents.
Strong organizational and time-management skills.
High attention to detail and confidentiality.
Proficient in Microsoft Office Suite and governance software.
Certifications:
Membership with the Institute of Company Secretaries of India (ICSI) or relevant professional body.
Additional Skills (Preferred):
Experience in dealing with manufacturing-specific regulations and compliances.
Familiarity with global regulatory frameworks, if working in multinational companies
