Job Description

Key Responsibilities:

• Corporate Governance: Ensure compliance with Companies Act, SEBI, LODR, and other laws.

• Board Meetings: Organize meetings, prepare agenda, and maintain minutes.

• Regulatory Filings: File with ROC, SEBI, Stock Exchanges, etc.

• Secretarial Duties: Maintain statutory registers and provide Board support.

• IPO Management:

  • Liaise with legal advisors, bankers, and regulators

  • Handle SEBI compliance & disclosures

  • Manage pre-IPO and post-IPO documentation

  • Prepare draft prospectus and other filings

  • Manage investor communications

• Compliance Monitoring: Ensure legal, regulatory, and insider trading compliance.

• Annual Report: Oversee preparation and submission.

• Stakeholder Liaison: Act as contact point for regulators, shareholders, and others.

• Corporate Communication: Handle shareholder communications (dividends, AGM, etc.)
