Job Description

    About Client: A leading NBFC Organization Responsibilities: Corporate Governance: o Advise senior management on legal and compliance matters related to company law, Companies (Acquisition and Transfer of Undertakings) Act, and relevant sectorial regulations. o Oversee Board and Committee meetings, ensuring proper procedures and documentation (agendas, minutes, resolutions). o Manage the company secretarial function, including maintaining statutory registers and filings with regulatory authorities (RBI, SEBI etc.). Secretarial Functions: o Manage the company secretarial team and delegate tasks effectively. o Oversee shareholder relations, organizing and coordinating Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs). o Maintain accurate and up-to-date company records, including registers of members, directors, and other statutory documents. o Ensure proper archiving and retrieval of corporate documents. Risk Management and Compliance: o Identify, assess, and mitigate legal and compliance risks associated with secretarial functions. o Develop and maintain robust policies and procedures to ensure adherence to regulations. o Collaborate with other departments (Legal, Risk Management) to develop and implement comprehensive risk management strategies. Qualifications: Chartered Secretary (CS) qualification with experience in the BFSI sector is highly preferred. Graduation in Law, Management, or a related field Strong understanding of the Companies Act, NBFC regulations, and relevant secretarial laws. Excellent communication, interpersonal, and organizational skills. Proficient in secretarial software and office automation tools. Additional desirable skills: Experience in Board and Committee management. Knowledge of corporate governance best practices. Strong analytical and problem-solving skills. Ability to work independently and manage multiple priorities.,
