Job Description

Key Responsibilities

1. Contract Review & Management

1. Review, draft, vet, and negotiate a wide range of service agreements, including but not limited to:

1. Master Service Agreements (MSAs)

2. Non-Disclosure Agreements (NDAs)

3. Vendor Agreements

4. Client Agreements

5. MSP Agreements

6. Subcontractor Agreements

7. Employment/Placement Agreements specific to IT staffing

8. Statements of Work (SOWs)

2. Ensure all contracts align with company policies, legal standards, and risk tolerance.

3. Identify potential legal, commercial, and operational risks in contracts and propose mitigating clauses.

2. Risk Analysis & Mitigation

1. Conduct risk assessments on proposed contracts and business dealings.

2. Identify potential legal, financial, and operational risks and recommend mitigation strategies.

3. Advise internal stakeholders (sales, delivery, finance) on risk implications and contractual obligations.

3. IT Staff Augmentation - Business Support

Deep knowledge and understanding of the IT staff augmentation - business model to address legal nuances such as:

1. Contract workers liabilities and warranties

2. Worker classification (W-2 vs. 1099/C2C)

3. Right-to-represent and recruitment placement terms

4. Work acceptance and rejection of services

5. Acceptance and Reperformance of Deformities

6. T&M and Fixed Price Services

7. Consulting Services and Professional Services

8. Invoicing and Payment Terms

9. MSP and role of MSP in Staff-augmentation business

10.Client-specific compliance requirements (background checks, onboarding protocols)

4. Intellectual Property & Licensing

1. Review and advise on intellectual property (IP) clauses within contracts, ensuring protection of company assets and client interests.

2. Handle agreements related to software licensing and subscriptions, including:

1. End-User License Agreements (EULAs)

2. Software-as-a-Service (SaaS) agreements

3. Subscription renewals and compliance audits

3. (Note: Knowledge of licensing and subscriptions is an added advantage.)

5. Contract Life-cycle Management

1. Maintain a centralized, organized, and secure contract repository of all contracts and legal documents.

2. Create and maintain trackers for:

1. Contract status (drafting, execution, expiry)

2. Renewal and termination dates

3. Key obligations and deliverables

3. Ensure version control and easy retrieval of all legal documents.

6. Compliance & Legal Support

1. Assist in ensuring company-wide compliance with applicable laws, including data privacy, labor laws, and corporate governance.

2. Support internal teams (HR, Sales, Operations) with legal guidance on day-to-day matters.

3. Stay updated on changes in relevant laws and regulations affecting the IT staffing industry

4. Prepare and manage legal notices, replies to notices, and other formal correspondence.

7. Reporting & Documentation Skills

1. Utilize Microsoft Excel to maintain dashboards, track contract metrics, and generate reports for management.

2. Use Microsoft Word to draft, format, and manage high-quality legal documents with precision.

8. Stakeholder Collaboration

1. Work closely with internal teamsSales, Recruitment, Finance, and Deliveryto ensure contractual alignment with business objectives.

2. Provide training or guidance to non-legal teams on standard contractual terms and risk awareness.

Required Skills & Qualifications

Education: Bachelors degree in Law (LL.B.) from a recognized university.

Experience: Minimum 2 years of relevant legal experience, preferably in IT staffing, IT services or a corporate legal environment.

Contract Expertise: Strong experience in reviewing and drafting service agreements, preparing synopsis, and risk mitigation analysis, vetting/redlining/reviewing different kind of agreements like MSA, NDA, Vendor and Supplier Agreements, SOWs etc.

Business Knowledge: Understanding of IT staff augmentation, placement agreements, time and material, fixed price, managed services, warranties and indemnities, client-vendor dynamics etc.

IP & Licensing: Knowledge of IP principles. Familiarity with software licensing and subscriptions is a strong added advantage.

Technical Proficiency: Advanced proficiency in MS Excel and Work (Trackers, formulas, formatting, document comparison tools etc.)

Writing Skills: Excellent legal writing and drafting skills with attention to detail and clarity.

Organizational Skills: Proven ability to maintain repositories, trackers, and contract databases with accuracy.

Analytical Ability: Strong analytical mindset for risk identification and problem solving.

Preferred Qualifications (Add-Ons)

1. Prior experience in a corporate legal department of an IT staffing or IT services company.

2. Familiarity with contract lifecycle management (CLM) software.

3. Basic understanding of data privacy laws (e.g., GDPR, CCPA) as they relate to IT service industry.
