What will you. do We are seeking an experienced and senior Company Secretary - Compliance Officer with a robust background in handling compliance-related roles and functions. The ideal candidate should have significant experience in Main Board Companies, particularly managing Public Limited companies. The role requires a professional with 8-10 years of experience and expertise in various aspects, including ESOPs, Board of Directors, policy formulation, and ESG (Environmental Social Grievance). The candidate should have excellent communication, analytical, and interpersonal skills to effectively manage shareholder relations, address investor meetings, and handle grievances. Job Responsibilities Conducting of Board/Committee/Shareholders meeting and ancillary activities associated for the conduct of the meeting. Prepare and Draft Notice, Agendas, Minutes and Maintain Statutory Records. Meet timely listing compliances Quarterly/Half Yearly/Annual Compliances with exchange. Provide advice and guidance to the board of directors and senior management on corporate governance matters. Coordinate with internal departments to ensure compliance with internal policies and procedures. Conduct compliance training for employees to promote awareness of regulatory requirements. Monitor changes in laws and regulations that may impact the company and advise management accordingly. Collaborate with external legal counsel, auditors, and consultants on compliance related matters. Assist in the development and maintenance of risk management processes and procedures. Serve as a liaison between the company and regulatory authorities during audits and inspections. Investigate and address compliance violations or breaches as necessary. Prepare and submit regulatory reports, disclosures, and filings as required. What Are We Looking For Qualified Company Secretary from ICSI (minimum 5 years of experience), LLB would be added advantage or any bachelor's degree in corporate/business law/finance will be preferred. Strong understanding of relevant laws and regulations, including SEBI (LODR), SEBI (PIT), SEBI (SAST), Companies Act, 2013 etc. Effective communication and interpersonal skills, with the ability to interact confidently with senior management, board members, and external stakeholders. Ability to work independently and collaboratively in a fast-paced environment. Proficiency in Microsoft Office suite and familiarity with compliance management software. Ethical conduct and sound judgment in handling confidential information. Strong organizational and time management skills, with the ability to prioritize tasks and meet deadlines. Continuous learning mindset to stay abreast of evolving regulatory requirements and best practices. Good understanding of ESOP, CSR, ESG would be added advantage. Proficient in MS Office applications, in particular Excel, Word and Outlook. Good team player, meticulous, proactive, high attention to detail, self-motivated and able to adapt in new challenges. Excellent communication and soft skills, with presentable demeanor. Ability to prepare and present analytical reports and data effectively. Consideration for candidates from the software or service industry, particularly those with experience in Intellectual Property (IP). 8-10 years of relevant experience, preferably in a senior compliance role Education Qualification - Graduate/ Qualified CS (company Secretary) Experience - 8-10 years Industry- IT/Software/BFSI/ Banking /Fintech Work arrangement 5 days working from office.
