General Manager - Legal and Compliance @ Bluestone

Job Description

Role & responsibilities :

• Manage and ensure all company compliances. Coordinate with relevant internal and external stakeholders for compliances.
• Ensuring compliance with local municipal and state level laws and regulations
• Coordinate with respective teams to ensure factory, store level and labour compliances
• Maintain and manage the companys compliance platform.
• Lead legal due diligences.
• Drafting, commenting, negotiating, and closing typical business agreements such as NDAs, lease, franchisee, product partnerships etc.
• Responding to legal, SCN or any other notices and taking any open notices to closure
• Coordinating and working with the legal counsels on special situations, DRHP preparation, equity investments and debt agreements
• Vetting, drafting, negotiating and closing the debt(Bank, NBFC, NCD) term sheets and facility agreements
• Ensuring debt related compliances
• Tracking new/amendments to laws that are applicable to the company and drive end to end compliance to the same.
• Implement Digital Personal Data Protection Act, 2023
• Coordinating with regulators and working with company secretary on secretarial matters
• Managing IP and Trademark Portfolio and litigations

Skills and qualifications :

• LLB
• Knowledge of Companies Act
• Knowledge of various acts such as labour and factory
• Exposure to legal agreements and compliance must
• Self-starter with high levels of ownership
• Deep process orientation
• Good Communication skills

Experience :

At least 6-10 years of experience post qualification in a corporate or at a law firm

Knowledge of companies act, contracts, labour laws for Indian Public and Private Companies

Prior experience of managing legal documentation, drafting contracts, and compliances

Coordinating with regulatory authorities like Investors, trustees, regulators, depositories,

lenders, ROC and RTA

Demonstrated ability to operate in a small team and multi-task
