Job Description

: We are seeking a highly skilled and experienced Senior Manager to join our team as a Company Secretary. The Senior Manager - Company Secretary will play a pivotal role in providing strategic leadership, overseeing corporate governance initiatives, and ensuring regulatory compliance for our clients. The ideal candidate will possess in-depth knowledge of corporate laws and regulations, strong leadership abilities, and a proven track record of delivering high-quality services to clients. Responsibilities: Corporate Governance Leadership: Provide strategic direction and leadership in the development and implementation of corporate governance policies, procedures, and practices. Oversee board and committee meetings, ensuring compliance with legal and regulatory requirements, and facilitating effective. decision-making processes. Advise senior management and board members on corporate governance best practices, emerging trends, and regulatory developments. Regulatory Compliance: Monitor changes in corporate laws, regulations, and governance guidelines, and ensure timely compliance with all statutory requirements. Prepare and file necessary documents, including annual returns, board resolutions, and regulatory disclosures, by applicable laws and regulations. Conduct periodic compliance reviews and audits to identify potential issues and recommend remedial actions to mitigate risks. Client Engagement and Relationship Management: Serve as a trusted advisor to clients on corporate governance matters, providing strategic insights, practical solutions, and expert guidance. Build and maintain strong relationships with clients, understanding their unique needs and objectives, and delivering value-added services to meet their expectations. Collaborate with internal teams, including partners, managers, and staff, to ensure seamless delivery of services and achieve client satisfaction. Team Leadership and Development: Lead and mentor a team of company secretarial professionals, providing guidance, support, and opportunities for professional growth and development. Foster a culture of excellence, collaboration, and continuous learning within the company secretarial department, promoting innovation and best practices. Conduct performance evaluations, provide constructive feedback, and identify training needs to enhance the capabilities of the team. Risk Management and Internal Controls: Identify, assess, and mitigate risks related to corporate governance, regulatory compliance, and legal matters, proactively addressing potential issues to safeguard the interests of clients and the firm. Establish and maintain robust internal controls, policies, and procedures to ensure the integrity and reliability of company secretarial processes and documentation. Skill Sets: Bachelor's degree in Law, Business Administration, Commerce, or a related field. Qualifications such as a Company Secretary (CS) certification are required. Minimum of 6 years of relevant experience in corporate secretarial practice, preferably in a Chartered Accountancy firm or corporate environment. In-depth knowledge of corporate laws, governance principles, and regulatory requirements, with a demonstrated ability to apply legal and regulatory provisions in practical situations. Strong leadership, communication, and interpersonal skills, with the ability to influence and engage stakeholders at all levels of the organization. Excellent organizational abilities, attention to detail, and the ability to manage multiple priorities in a fast-paced and deadline-driven environment. Proven track record of building and maintaining client relationships, delivering high-quality services, and driving business growth.
