Job Description

Designation -Company Secretary cum Legal Manager The position is to act as Company Secretary for the Company as required under the Companies Act. To ensure all Secretarial compliances. The position heads the secretarial function of the Company and its subsidiaries / JV Companies as may be identified. This position has to ensure all business / financial operations of the Company are statutory compliant and the job is more of operational than advisory. This position reports to CEO with dotted line reporting to Head Finance for Secretarial matters and is responsible to the Board for Secretarial compliances and to carry out its directions in the area of all statutory compliances and assure the Board on such compliances. The position is also required to as Manager-Legal to look after the contract management of the Company and monitor the compliances in connection with various contracts entered into by the Company with external parties. All other corporate Legal matters of the. company. The responsibilities without limitation include the following. Continuous monitoring of operations / managerial actions and ensuring they are compliant of statutes and corporate agreements. To maintain all statutory registers, records etc of the Company and its identified subsidiaries / JV Companies, as prescribed under the Companies Act Conducting of periodical Board meetings, Shareholders meetings duly complying with the statutory provisions and Secretarial Guidance Notes issued by the ICSI. To maintain the minutes of meeting of the Board of Directors / Shareholders or sub-Committees thereof. Fulfil corporate statutory obligations by filing necessary forms and documents as required under Companies Act and other allied Acts with statutory authorities, in respect of the Company and the Subsidiaries / Associates / JV Companies as may be entrusted from time to time, as may be required from time to time Responsible for preparing and implementing Standard Operating Procedures, Guidance Manuals, processes for effective and efficient functioning of Secretarial function of the Company, its subsidiaries and JV Companies. Ensure compliance with Delegation of Powers in execution of the day to day transactions of the Company, its subsidiaries and JVs. Continuously undertaking necessary actions, to uphold and improve Corporate Governance Process of the Company and the Subsidiaries / Associates / JV Companies as may be entrusted from time to time, as per Companies Act and all other Corporate Laws applicable. Preservation of Secretarial Records of the Company and the Subsidiaries / Associates / JV Companies as may be entrusted from time to time. Coordinating with the Statutory Auditors and providing information relating to secretarial matters for timely completing the statutory audits. Compliances relating to concession agreements with Airports, Malls etc, submission of Turnover Certificates from CA Firms, to Airports (as per schedule); To monitor all the statutory compliances as required under various Labour Laws To furnish a Compliance Certificate to the Board of Directors on quarterly basis on various compliances enumerated in this JD Contract Management Review the draft of agreements proposed to be entered into by the company with Airports, Vendors, Customers, service providers etc and provide comments on any onerous clauses and suggest modifications that may be required To act as repository of all the agreements / contracts entered into by the Company Preparing a gist of all key points / obligations of the agreements entered into by the company Keeping track of the companys obligations under the contracts and ensuring / alerting the compliance of the same (such as filing periodic reports, returns, information with the counterparty as per the Agreements and timely remittance of dues as per the agreement terms). To enforce the rights of the Company under various contracts. To alert about the contracts falling due for renewal to ensure that the necessary business action is taken by the management timely To participate in management meetings to guide the management on the terms of the contracts To prepare / review the representations to the counterparties for relaxation / amendment / modification of the contracts based on commercial expediencies / changed scenarios To prepare responses to the notices received from external parties against the company and pursue for closure of the same timely To manage the Trademarks portfolio of the Company Requirements and skills : Qualified Company Secretary and LLB/LLM. 10 + years total experience (including Retail Industry) Excellent communication skills, Problem solving and Team player
