Vacancy for Company Secretary (01) 

Promac Engineering Industries Limited (unlisted public company) is looking for a Company Secretary with Finance background and around 4 years of experience.  

Location - JP Nagar, Bengaluru 

*Preferably Male candidate.  

Roles and Responsibilities: 

1. Knowledge of Companies Act, 2013 and the Rules thereon. 

1. Maintenance and updating of statutory registers. 

1. Accounts and Finance related works. 

1. Compliance relevant to the subsidiaries and associated companies and ensuring, by the most appropriate means, that those obligations are met. 

1. All MCA and ROC filings both events based and periodical compliances. 

1. Preparing timely basis, circulating, documentation in relation to Board meeting, shareholders meetings and ensuring the smooth running of such meetings. 

1. Filing of Form FC-GPR, FC-TRS including downstream reporting and FLA reporting under FEMA. 

1. Drafting and vetting various kinds of legal documents like co-operation Agreement, Service Agreement, Memorandum of Understanding (MOU), Vendor Agreement, Settlement Deed and their Addendum.   

1. Coordinate with Advocates/Counsel on behalf of the Company in respect of Court Cases. 

1. Preparation of statutory accounts, including necessary coordination with statutory auditors. 

1. Provide reports on a regular basis, and as directed or requested.
