Location: Gurugram, Haryana Job profile for Manager Investor Services & Secretarial Manage all secretarial functions of the Company and its subsidiaries, including listing compliances, maintaining statutory registers and records, filing statutory forms and returns with regulatory authorities, and ensuring proper documentation. Prepare comprehensive agendas, papers, and presentations for Board meetings, committees, and Annual General Meetings (AGMs). Ensure timely distribution and follow-up on action points. Take meticulous minutes, draft resolutions and lodge required forms and annual returns with Registrar of Companies, Ministry of Corporate Affairs (MCA). Monitor changes in relevant legislation and regulatory requirements. Take proactive measures to ensure compliance and mitigate risks. Liaise with external regulators, advisers (e.g., lawyers, auditors), and other stakeholders to address compliance and governance matters. Attending emails, phone calls, mails, visits of shareholders with all queries and complaints on daily basis. Interacting with Registrar and Share Transfer Agent (RTA) on daily basis in this regard. To ensure timely response to the shareholders" queries and grievances considering 2,15,000 (approx.) shareholders base. Resolving complaints / queries on shareholder discount coupons throughout the year. Maintaining proper inward and outgoing database for letters, queries, complaints, transfer cases, transmission cases, name deletion cases, sub-division / consolidation of shares, duplicate share certificates, remat and demat cases at the department and at RTA. Attending monthly, quarterly and yearly audit for share operations, compliance of statutory requirements and processing for filing of quarterly / half-yearly reports in time on interacting with RTA. Finalising quotations with seniors and making arrangements for printing of Annual Report, discount coupons, dividend warrants, ECS advice, forms, letters, envelopes, etc. as per requirement. All arrangements for conducting AGM / EGM / Postal Ballot / e-Voting. Interacting with Depositories, printers, mailers, couriers, caterers and other agencies / suppliers for processing jobs. Transferring of shares to Investor Education and Protection Fund, Ministry of Corporate Affairs (IEPF) every year as per new notifications after completion of entire guidelines, i.e., sending notice to the shareholders, corporate action process, files uploading at RTA, etc. All matters related to IEPF including processing for filing of e-forms IEPF-1, IEPF-1A, IEPF-2, IEPF-4 and IEPF-7. Advising and assisting shareholders on claim of shares, dividend, and amount of Fixed Deposit transferred to IEPF on filing of IEPF-5. To keep proper control on undelivered share certificates and valuable documents for easy access, checking and audit. Maintaining all sorts of database with easy access for smooth day-to-day operations. Maintaining data / reports on major expenses of the department and planning for cost control. Preparing RBI quarterly report on Order Books, Inventories and Capacity Utilisation Survey. Keeping note and interacting with legal advisors relating to processing of disputed share transfer and transmission cases.,
