The person with 4+ years of experience will handle compliance, contracts and other legal issues independently (I am there to support, help, and guide, of course), and the junior person should be there to support with all legal research, coordination, execution and drafting work relating to compliances, contract and other legal issues.
Secondly, Job Responsibilities and matching skills required are:
- Contract management/ handling (end to end) needs thorough experience in drafting, reviewing, negotiating, managing, executing and filing contracts and good understanding on basic contractual principles (software related agreements, vendor contracts, leases, rent agreements, agency and independent contractor agreements, SoWs and work orders, NDAs, etc.)
- Regular corporate compliance work (monthly, quarterly, semi-annually and annually) eg.: DPT, MBP, DIR forms, annual reports, preparing board resolutions and minutes of meetings, etc. needs meticulous analysis and following deadlines. The 4+ years experience person should necessarily have strong corporate compliance background with private or public companies; or alternatively (back up option) good understanding of corporate laws and basic experience with corporate compliance, such as drafting Board Resolutions and filing forms with government to keep corporate statuses/ permissions active
- Board Meetings and minutes drafting, conducting, recording, maintaining, etc.
- Handling day to day legal affairs of company needs researching, drafting, coordination and follow up skills
- Handling special legal issues relating to HR, finance, admin, compliance, etc. - should have experience in advising on issues relating to labour/ employees, finance, corporate compliance, etc.
- CSR Projects discussions, due diligence, MOU drafting and execution, project execution, etc. should be updated with CSR laws
- Corporate Policy drafting, revisions, updations, etc. India, Australia, Singapore, etc.
- Handling data privacy issues and policies
- Any other legal or semi-legal issues that may arise from time to time
Basic Skills required:
- B.A., LL.B. degree from a leading university/ law college
- Independent; responsible; good team player; fast and enthusiastic learner; detail oriented; strong organizational and interpersonal skills; including ability to work effectively within a complex global group with a globally distributed team and a fast-paced business environment; should possess good researching skills and legal analytical ability; have good understanding of Company and Contract laws; should have basic compliances experience (eg. drafting Board resolutions or filing government forms)
- Strong experience as a legal counsel in an in-house legal department or law firms specializing in corporate or commercial laws. Diverse experience is an advantage includes experience in corporate, contracts, finance, vendors, customers issues and contracts, etc.
- Experience working in a large, global organization (an advantage) in the technology sector (strong advantage)
- Experience in negotiating and drafting various commercial agreements (including software related agreements an advantage)
- Ability to work cross-functionally and adapt to changing priorities while managing multiple tasks with accuracy and efficiency to meet deadlines
- Experience working in SEZ domain and data privacy laws, including GDPR (added advantage)
