Our Client: Our client is a well-established, Bengaluru headquartered full-service law firm. The law firm has handled varied assignments for its clients that vary from domestic and multinational corporations, to financial institutions and individuals of substantial net worth across different practice areas such as business and corporate, real estate, Intellectual Property, labour and employment, litigation and compliance.
Workplace type: Hybrid. Relocation is a must for outstation candidates.

Job Description: The role will be reporting to the Partner and has the following responsibilities.
Core Responsibilities
Reviewing, drafting, and negotiating a full range of commercial contracts, Service Level Agreements, Software Agreements, NDAs, etc.
Advising on Corporate, Investment, M&A, regulatory, FEMA, financing and other transactional matters.
Advising clients and drafting opinion on all aspects of General corporate work.
Advising clients on all aspects of corporate work including Share / Asset purchase or sale deals, company formation and restructuring, due diligence, general corporate advisory and shareholders agreements.
Employment Agreements, Consultancy Agreements, Employee Handbook/Service Rules, ESOP Plans, POSH matters, etc.
FEMA compliances including transfer of shares from resident to non-resident and also non- resident to resident.
Conducting legal due diligence
Conducting legal research
Other Responsibilities
Advising on issues pertaining to employment, POSH, etc. and developing policies for clients
Supervise and guide the internal lawyers in the team.
Other legal matters assigned from time to time.

Essential Criteria
BA LL.B with a PQE of 2 8 years.
Experience in dealing with General Corporate and Commercial Contracts related matters for client.
Ability to apply legal knowledge to practical situations, and a solution-oriented, pragmatic approach to balance risk and reward.
Strong analytical skills should be able to use judgment, analyse facts and draw logical conclusions.
High degree of independence, initiative and decisiveness but also a desire to be challenged and think outside the box
Ability to quickly assess risk areas and recommend ways of mitigating or managing them.
Expert-level legal drafting skills
Highly effective verbal and written communication skills
