Overview: Responsible for legal issues pertaining to the company i.e., Preparation & wetting of legal notices/documents, MOUs, Agreements as per business requirement & periodical MIS reports. Also responsible to ensure that appropriate and effective legal strategies are in place to facilitate business goals.


Core Responsibilities:


  • Legal Drafting: Write, review and analyze various legal pleadings, affidavits, plaints, written-statements, petitions, writs, replies, rejoinders, powers-of-attorney, draft, and file responses to legal notices, review opinions and other legal documents, identify potential legal issues and support suitable legal documentation etc.
  • Drafting Business Contracts: Drafting, reviewing and negotiating a wide range of commercial contracts including transport, contract-filling, sale, lease, leave & license, franchisee, distributor, vendor, technology & marketing tie-up, varieties of customer agreements, confidentiality agreements, employment documentation etc.
  • Litigation Management: Conversant with the functioning and procedures of Courts in India/ Quasi-Judicial Authorities w.r.t. litigations, Arbitration, etc. Developing and coordinating litigation strategies and coordinating centrally all litigation across the country. Effectively liaise with external lawyers for management of legal cases and legal costs, opinions. Manage and oversee all company litigation matters.
  • Mergers & Acquisitions: Experience in the structuring and execution of M&A transactions, including planning for and managing due diligence, drafting transaction documents, handling closings and integration planning, implementation, and execution
  • Advising internal teams on a wide variety of legal issues, including Factories Laws, Labor Laws, Pollution Control & Environmental Protection Laws, Negotiable Instruments Act, Competition Law, Indian Contracts Law, Consumer Protection, Intellectual Property Laws, Indian Stamps and Registrations Laws, Transfer of Property Act, Motor Vehicles Act & Rules, Acquisitions, Mergers and Collaborations, Legal Due Diligence, Criminal Procedure Code, Civil procedure Code, Indian Penal Code, Company Law, Partnership Laws, Constitutional Laws, etc.
  • Management of Intellectual Property Rights searches, registrations and infringement actions.
  • Thorough understanding of Laws of India i.e.,: Legal principles, jurisprudence and practices in Civil, Criminal, Constitutional, Company Law, Employment and Business Laws and procedures.
  • Identify, manage and mitigate risk and strengthen business support.
  • Review and identify gaps in compliances if any and take appropriate steps to ensure compliances.
  • Attend meetings, conferences, hearings and Court Matters.
  • Maintain records and summary of all ongoing proceedings and give updates to the concern head of department or designated person in respect of all such matters on regular basis.
  • Follow up on all matters and ensure compliance of all timelines and procedures that may be legally necessary.
  • analyzing various national & state policies, legislative amendments, bills, consultation papers, notifications, court-related judicial pronouncements on contracts, commerce, and competition law matters and in general anything that impacts the business either positively or negatively.
  • Assist in the formulation, implementation, and/or amendment of Company policies.
  • Liaise /Work with external counsel in preparation and filing and plead cases in Courts.
  • Maintain a comprehensive database of the status of all court matters involving the Company.
  • Co-ordination with inter-department for secretarial-related works. Timely submission of MIS reports.
  • Any other work which was assigned by the Company secretary related to Secretarial activities.
